Shareterms is a product of Legalise. The model is checked periodically against current Dutch law, and every purchased agreement can be reviewed by a lawyer.
Yes. A shareholders' agreement is an ordinary contract between shareholders. Only the articles of association go through a notary. You sign it yourselves, digitally or on paper.
The questionnaire covers the common situations: individuals or holdings, 50/50 or unequal, with or without an investor. If in doubt, choose the lawyer review. They read your version and call you within 24 hours.
The questionnaire asks which share-transfer restriction is in your articles. The document also states that between the parties the agreement prevails, and that you will amend the articles accordingly.
Yes. There is a separate product for that: an exit and dispute clause that works as an addendum to your existing agreement and replaces the old exit provisions. See the exit clause.
You receive it as a Word file, so yes. Changes must be signed by all shareholders. That is in the agreement too.
The model is checked periodically by our lawyers. Buyers are notified of relevant changes in the law and can request an update check.
